References to Companies Act 2006

Section 145 provides a transitional rule ensuring that cross-references to a Companies Act 2006 provision work correctly during the period before that provision officially comes into force.

  • Section 658 of the Companies Act 2006 contains the rule against a limited company acquiring its own shares.
  • Sections 807B(3)(f)(ii) and 807D(7)(b) of ICTA, inserted by the Corporation Tax Act 2009, refer to section 658 of the Companies Act 2006.
  • Until section 658 actually comes into force, those references are to be read as references to the predecessor provision, section 143 of the Companies Act 1985.
  • This ensures there is no gap in the law during the changeover period between the two Companies Acts.
