Share capital to which section 1049 applies: returns

Section 1052 requires companies that issue stock dividend share capital to file returns with HMRC for each return period, detailing the shares issued and their cash equivalent value.

  • Companies must file a return with HMRC within 30 days of the end of each return period in which relevant share capital (stock dividends) was issued.
  • The return must include the issue date, any earlier date on which the company was first required to issue the shares, the terms of issue, and the cash equivalent value of the share capital.
  • If HMRC believes a company has failed to file a required return, an officer may issue a notice requiring the company to do so within a specified period of at least 30 days.
  • Even where no relevant share capital was issued during the return period, a company served with such a notice must still submit a return confirming that no shares were issued.
